Terms & Conditions of Engagement
These Terms & Conditions govern your access to and use of the Flexalite website (www.Fexalite.com.au) and the provision of products and services by Flexalite Pty Ltd.
1. Conditions of Use
These Terms & Conditions ("Terms") govern your access to and use of the Flexalite website (www. exalite.com.au) and the provision of products and services by Flexalite Pty Ltd ("Flexalite", "we", "us", "our").
By accessing our website, requesting a quotation, issuing a purchase order, or engaging Flexalite to provide services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not engage Flexalite.
We reserve the right to update these Terms at any time without notice. The version published on our website will apply at the time of engagement.
2. Scope of Services
Flexalite provides business-to-business services including, but not limited to:
- Design and development of retail displays and fixtures
- Manufacturing, fabrication, print and signage
- Project management and coordination
- Logistics, warehousing, delivery and installation
Unless expressly stated otherwise in writing, Flexalite does not supply goods or services to consumers for personal, domestic or household use.
3. Quotations & Orders
All quotations are valid for 30 days unless stated otherwise.
Quotes are based on information provided by the client at the time of quoting. Changes to scope, materials, quantities, timelines, site conditions or specifications may result in revised pricing.
A binding contract is formed only once Flexalite receives written acceptance (purchase order, email confirmation or signed proposal).
Verbal instructions or approvals are not binding unless confirmed in writing.
4. Pricing & Payment
All prices are quoted in AUD and are exclusive of GST unless stated otherwise.
Payment terms are as stated on the quotation or invoice. Unless agreed otherwise, invoices are payable within 14 days from invoice date.
Flexalite reserves the right to require progress payments, deposits, or payment prior to manufacture or dispatch.
Late payments may attract interest and recovery costs in accordance with applicable law.
Ownership of goods does not pass to the client until full payment has been received.
5. Variations & Change Requests
Any variation to the agreed scope must be requested in writing.
Variations may impact pricing, timelines, delivery dates and installation schedules.
Flexalite is not obligated to proceed with variations until they are approved in writing.
6. Delivery, Installation & Risk
Delivery and installation dates are estimates only and subject to factors outside Flexalite's control.
Risk in goods passes to the client upon delivery to site, unless otherwise agreed in writing.
The client is responsible for ensuring site access, inductions, permits, approvals and readiness for installation.
Flexalite is not responsible for delays caused by site conditions, third parties, landlord restrictions, centre management, or force majeure events.
7. Intellectual Property
All designs, drawings, concepts, renders, documentation and creative materials produced by Flexalite remain Flexalite's intellectual property unless expressly assigned in writing.
Upon full payment, the client is granted a non-exclusive licence to use the final approved deliverables for the agreed project only.
Designs may not be reproduced, modified, re-used or supplied to third parties without Flexalite's prior written consent.
8. Client Supplied Information & Materials
The client warrants that any information, artwork, branding, specifications or materials supplied do not infringe any third-party rights.
Flexalite is not responsible for errors arising from client-supplied information once approved.
The client indemnifies Flexalite against claims arising from use of client-supplied materials.
9. Limitation of Liability
To the maximum extent permitted by law:
- Flexalite's liability is limited to re-supply of the services or the cost of re-supply.
- Flexalite is not liable for indirect, consequential or economic loss, including loss of profit, business interruption or reputational damage.
- Nothing in these Terms excludes liability that cannot be excluded under Australian Consumer Law.
10. Termination
Flexalite may suspend or terminate services immediately if:
- Payment terms are breached
- Instructions are unlawful, unsafe or impractical
- Continued performance would expose Flexalite to unreasonable risk
Termination does not affect rights accrued prior to termination, including payment obligations.
11. Website Use
All content on the Flexalite website, including text, images, designs, trademarks and intellectual property, is owned by Flexalite or licensed to us.
You may not copy, reproduce, distribute or exploit website content without prior written consent.
12. Governing Law
These Terms are governed by the laws of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria.
